NGX Lifts Suspension On Trading In Regency Alliance Insurance Shares

The Nigerian Exchange Limited (NGX) has announced the lifting of the suspension earlier placed on the trading of shares of Regency Alliance Insurance Plc, following the company’s submission of its outstanding financial statements.

In a notice to Trading License Holders and the investing public, the Exchange recalled its Market Bulletin dated 1 September 2025 (Reference Number: NGXREG/IRD/MB64/25/09/01), in which it disclosed the suspension of trading in Regency Alliance Insurance shares for failing to file its Audited Financial Statements (AFS) for the year ended 31 December 2024 within the regulatory deadline.

The action had been taken in accordance with Rule 3.1 of the NGX Rules for Filing of Accounts and Treatment of Default Filing (Default Filing Rules), which stipulates that an issuer that fails to submit its accounts within the cure period will be issued a Second Filing Deficiency Notification, suspended from trading, and reported to the Securities and Exchange Commission (SEC) and the market.

According to the NGX, Regency Alliance Insurance has now submitted its 2024 Audited Financial Statements as well as its outstanding Unaudited Financial Statements for 2025.

Consequently, and in line with Rule 3.3 of the Default Filing Rules—which provides that a suspension shall be lifted once the issuer submits the relevant accounts and the Exchange is satisfied that they comply with all applicable requirements—the suspension placed on trading in the company’s shares was lifted.

The NGX noted that the lifting of the suspension has been communicated through the same channels by which the investing public and the SEC were initially notified, thereby restoring normal trading activities on the company’s shares.

THE WHISTLER reported recently that the NGX suspended trading in the shares of two publicly listed companies due to their failure to comply with regulatory requirements regarding timely financial disclosure.

According NGX report, the affected companies—Regency Alliance Insurance Plc and International Energy Insurance Plc have not filed their Audited Financial Statements for the financial year ended December 31, 2024. As a result, trading in their securities has been suspended on the trading platform of the Exchange.

According to the rule, where an issuer does not submit its required accounts by the expiration of the Cure Period, the Exchange is obligated to issue a Second Filing Deficiency Notification, suspend trading in the issuer’s securities, and notify both the Securities and Exchange Commission (SEC) and the investing public within 24 hours.

The NGX emphasized that the suspension is a regulatory measure aimed at protecting investors and maintaining market transparency.

The Exchange further noted that trading in the shares of the affected companies will remain suspended until the companies submit their outstanding financial statements.
