Leadway Holdings Acquires 100% of PAL Pensions

Leadway Holdings has announced that it has reached a definitive agreement to acquire 100 per cent ownership of PAL Pensions, a move that will significantly strengthen its position in the Nigerian pension fund administration (PFA) market.

Group Managing Director and Chief Executive Officer of Leadway Holdings, Tunde Hassan-Odukale disclosed the
development in a message to employees on Saturday.

He said the acquisition would see PAL Pensions merged with Leadway Pensure, the company’s existing PFA subsidiary, effectively positioning the group among the top three PFAs in Nigeria by assets under management.

“This acquisition is more than a milestone; it is a statement of our ambition to build a stronger, more competitive financial services group,” Hassan-Odukale stated.

“With this move, we expand our scale, giving us greater capacity to serve millions of Nigerians saving for their retirement.

“We unlock opportunities for growth, innovation, and efficiency across our businesses.”

The transaction marks a strategic expansion for Leadway Holdings, which has in recent years accelerated its diversification across insurance, pensions, and other financial services.

The consolidation of PAL Pensions into Leadway Pensure will not only enlarge the company’s client base but also deepen its penetration in Nigeria’s fast-growing pensions industry, currently valued at over ₦19tn in assets under management.

Hassan-Odukale added that details of the integration process between PAL Pensions and Leadway Pensure will be communicated in the coming weeks.

He credited the milestone to the “hard work, dedication, and commitment” of employees, while stressing that the acquisition aligns with the company’s long-term vision of building one of Africa’s most competitive financial services groups.

The acquisition follows a major divestment in July, when Hassan-Odukale, Leadway Holdings, and its subsidiaries sold 2,288,798,807 shares in First HoldCo, valued at ₦70.8bn.

Analysts say the share sale provided fresh liquidity and strategic flexibility ahead of the PAL Pensions transaction.

Industry observers note that the consolidation trend in Nigeria’s pensions sector is gathering pace as operators seek scale, efficiency, and stronger governance structures to compete in a market expected to see sustained growth on the back of regulatory reforms and rising retirement savings enrollment.
